Isn;t that exactly the point? Auerbach is suing precisely becuase he seeks to do his diligent fiduciary duty to oversee, manage, police, his corporation. Hr. Cerf and co. are NOT suing because apparently they are not to be bothered to ask to review the books -- and thus to find that they must either agree to silence any complaint against the company or not be shown them.
this bears directly on ICANN -- (no pun for Auerbachs nom de type) because (much like Joe Sims, much like the COI chair of ICANN, much like many people, Vint Cerf is involved in multiple corporate structures. If he has a pattern of negligent oversight of his companies -- and accepts that -- then it is relevant data for ICANN watch.
Heck, if they found Cerf in the alley with some Russian mafia member paying him Euros in flour sacks, THAT would be ICANNwatch worthy -- not because it would convict him of anything in a court of law but because it would be interesting to people who are interested in the ICANN.
