Why is ICANN approval required? If Register.com was just to sell its shares in RegistryPro to Hostway and RegistryPro continued as the operator, I don't see why ICANN is even needed. However, if RegistryPro will be dissolved and Hostway will be assuming the registry operation duties, then yes of course I see why ICANN approval is needed.

P.S. Nonetheless, this is hilarious to see. Register.com will eventually have to disclose the price of the sale in a future SEC filing, probably at its year-end filings.Doug Mehus

I dunno why they felt they needed ICANN's blessing. From what I can see in ICANN's micro-management [icann.org] (see in particular W: Additional Covenants), so long as they don't sell themselves to a large registry it seems they're OK to sell it to whomever (I was thinking .prostitutes should organize and buy it). -g
