Is Trallaince a front? For whom?
posted by michael on Wednesday November 17 2004, @11:56AM
ehasbrouck writes "A press release today announces a sale option for ".travel" gTLD applicant Tralliance Corp., contingent on "conditions being met, including final approval [for Tralliance] to be the registry of the .travel top-level domain from ICANN".
The news release reveals that throughout its application to ICANN, Tralliance had actually had a secret agreement -- never disclosed in any of the public documents related to the ICANN apoplication, but crtitical to evaluating Tralliance's claims about itself -- regarding an option for sale of the company to TheGlobe.com if the ".travel" application is approved:
The agreement between the two companies was originally entered into on February 25, 2003 and has since been amended. The Securities and Exchange Commission granted theglobe.com confidentiality treatment with respect to full disclosure of the details of the Agreement pursuant to Rule 406 under the Securities Act of 1933, as amended.

ICANN should pull the offer to let in .travel because of this hidden information and it should be very concerned about the registry operator being taken over by TheGlobe.com.

I am very surprised that more ICANNWatch readers have not commented on this issue. Theglobe and Tralliance clearly pulled one over on ICANN, and if they get .travel, they'll be pulling one over on Internet users. Now is the time to comment about Tralliance, not after they are already trying to run .travel.

Sure seems as if Tralliance was a front for someone. I don't think TheGlobe.com should be permitted to purchase .travel.

I guess the big questions are. 1) Why did theglobe.com seek special dispensation from the SEC to keep the details of this agreement secret in February 2003 if the intent was not to mislead? 2)Were the other "supporters" of the Travel Partnership told that ultimately they would be dealing with theglobe.com and not just good old Ron Andruff? 3) And possibly most importantly, was the exact nature of the option to buy tied to the loan by theglobe.com fully disclosed to ICANN under the confidential Business and Financial Section of the application?
If the answers to either 2) or 3) are No then the very least that ICANN should do is check back with all of the "supporters" to make sure their support is still as strong if theglobe.com were indeed the original applicant. Dont forget all of the members of the non-profit are getting a portion from each registration by their members,so they are not exactly unbiased.
This must be very embarrasing for ICANN as Ron Andruff and Tralliance appeared to be given pretty much a clear run through this process compared to many of the other applicants.

TheGlobe.com/VoiceGlo is a Voice-over IP company. What business do they have running .travel? What experience do they have running a TLD? This doesn't make any sense. ICANN should not permit Tralliance to sell itself to TheGlobe.

Having kept this matter secret from everyone since February 2003 why would they choose to announce now, before the contract is signed with ICANN? a)The ongoing negotiations with ICANN have unearthed this previously witheld information, therby forcing disclosure or b)Theglobe.com cannot contain their excitement any longer and wish to try to boost their share price and raise some much needed extra capital on the back of the disclosure? Surely the internet ( and travel) community deserve a proper explanation
